Turkish Airlines Secures Air Europa Stake

Turkish Airlines has finalized a deal to acquire a minority stake, estimated between 25% and 27%, in the Spanish airline Air Europa. The agreement, valued at approximately €300 million, positions the Turkish flag carrier to significantly expand its global network, particularly into the Iberian Peninsula and Latin American markets. This move comes after Turkish Airlines successfully outbid European aviation giants Lufthansa and Air France-KLM.

Details of the Strategic Investment

The investment by Turkish Airlines, announced around August 19-20, 2025, primarily consists of €275 million in convertible debt and an additional €25 million through a direct purchase of shares. The final percentage of the stake will be determined following technical and financial adjustments at the closing stage. The transaction is expected to be completed within six to twelve months, contingent upon receiving the necessary permits and approvals from both Spanish and European regulatory authorities.

This strategic acquisition is designed to provide Air Europa with crucial financial relief, enabling the Spanish carrier to repay a €475 million government bailout loan received during the pandemic. Turkish Airlines is also expected to gain at least one seat on Air Europa's Board of Directors upon completion of the transaction.

Expanding Global Reach and Outmaneuvering Rivals

The acquisition is a key component of Turkish Airlines' strategy to strengthen its position in the global aviation sector. By securing a foothold in Madrid, a principal gateway between Europe and Latin America, the airline aims to enhance connectivity for passengers traveling between Turkey, Spain, and destinations across Latin America. Turkish Airlines Chairman Ahmet Bolat emphasized that the airline is interested in 'working with Air Europa,' not 'owning' it, and has no intention of increasing its stake beyond the minority share. This approach aligns with EU regulations that prevent non-EU airlines from holding majority ownership in EU-based carriers.

The deal highlights Turkish Airlines' ability to navigate complex market dynamics, succeeding where other major European competitors faltered. Both Lufthansa and Air France-KLM withdrew their bids for a stake in Air Europa, reportedly due to high valuation demands for a controlling stake and potential antitrust issues with EU regulators. International Airlines Group (IAG), parent company of Iberia and British Airways, which already holds a 20% stake in Air Europa, will participate in the capital increase to maintain its existing shareholding. IAG had previously attempted a full acquisition of Air Europa but faced significant regulatory scrutiny.

Future Outlook

This rare cross-alliance equity partnership, with Turkish Airlines being a Star Alliance member and Air Europa part of SkyTeam, is expected to create new revenue channels and foster rapid growth in the Latin American market. The collaboration is anticipated to leverage the complementary networks of both airlines, with Turkish Airlines' extensive global reach connecting seamlessly with Air Europa's strong presence in the Iberian Peninsula and Latin America.
